Contract Agreement
This agreement establishes an independent contractor relationship between Clients and Nova Growth Digital Agency, emphasizing their different roles without implying any partnership or joint venture.
Services will commence upon mutual agreement on a start date, with charges applied accordingly.
Clients can expect detailed monthly performance reports.
Either party must provide a minimum of 13 business days’ notice for termination or full transfer of service responsibilities to another vendor.
Nova Growth Digital Agency reserves the right to subcontract certain service obligations to third-party providers.
Only parties explicitly named in the Contract hold rights or responsibilities under its terms.
Payment Methods
To ensure a smooth and efficient process, Nova Growth Digital Agency requires upfront payment for all monthly service packages before commencing any work.
For services billed at a fixed price, the client must pay 50% of the total amount in advance. This initial payment is due before work begins, with the remaining 50% to be settled within 30 days of the start date.
Invoices for monthly services are issued in advance. Timely payment is essential; failure to meet the monthly fee deadlines will result in an immediate suspension of services without the need for prior notice.

Limitation of Liability
Nova Growth Digital Agency shall not be responsible for any indirect or consequential damages resulting from delays in service deliverables due to natural or unforeseen circumstances.
Clients agree to defend, indemnify, and hold Nova Growth Digital Agency harmless against any claims, losses, liabilities, and expenses arising from services provided by Nova Growth Digital Agency under this agreement. This includes, but is not limited to, third-party claims of false advertising, product or service liability, patent, copyright, or trademark infringement, service outages or malfunctions, and any content submitted by clients for publication.
Given the nature of digital media, any content or information provided by clients to Nova Growth Digital Agency will be publicly accessible once published.
As a result, Nova Growth Digital Agency will not be responsible for screening this material or for any damages or losses related to profit, goodwill, or other business assets due to the advertised content.
Waiver Clause
Our decision to not enforce strict adherence to any of your responsibilities outlined in the service contract or these terms and conditions at any point during the contract period does not mean you are exempt from fulfilling those obligations. This leniency does not imply a waiver of any terms.
A waiver of any specific term or condition will only be valid if it is communicated to you in writing.
